These Terms and Conditions govern your use of services provided by NexGen Accounting LLC. By engaging our services, you agree to be bound by these terms.
1. Services
NexGen Accounting LLC provides bookkeeping, accounting, advisory, and fractional CFO services as outlined in your specific service agreement or engagement letter. The scope of services will be defined in writing and agreed upon by both parties before work begins.
2. Client Responsibilities
As a client, you agree to:
- Provide accurate, complete, and timely information necessary for us to perform the agreed-upon services.
- Maintain responsibility for the accuracy of all source documents and financial data provided.
- Promptly respond to requests for information, approvals, or documentation.
- Maintain appropriate internal controls for your business operations.
3. Fees and Payment
- Fees for services are outlined in your engagement letter or service agreement.
- Invoices are issued monthly and are due upon receipt unless otherwise specified.
- Late payments may incur a 1.5% monthly interest charge on outstanding balances.
- We reserve the right to suspend services if payment is more than 30 days past due.
4. Confidentiality
We treat all client information as confidential. We will not disclose your financial data or business information to third parties without your consent, except as required by law or professional standards. This obligation survives termination of the engagement.
5. Limitation of Liability
NexGen Accounting LLC provides services in good faith and in accordance with professional standards. Our liability is limited to the fees paid for the specific services that give rise to any claim. We are not responsible for losses resulting from inaccurate information provided by the client, unauthorized transactions, or events beyond our reasonable control.
6. Term and Termination
- Either party may terminate the engagement with 30 days written notice.
- Upon termination, all outstanding fees become immediately due and payable.
- We will provide reasonable assistance in transitioning your records to a new provider.
- We retain the right to retain copies of work product and documentation as required by professional standards.
7. Intellectual Property
Templates, processes, methodologies, and tools used in delivering our services remain the property of NexGen Accounting LLC. Client-specific financial data and reports prepared for the client belong to the client.
8. Dispute Resolution
Any disputes arising from these terms or our services will be resolved first through good-faith negotiation. If unresolved, disputes will be submitted to binding arbitration in the State of Ohio. These terms are governed by the laws of the State of Ohio.
9. Modifications
We reserve the right to update these Terms and Conditions. Clients will be notified of material changes. Continued use of our services after notification constitutes acceptance of the updated terms.
